Welcome to Axhela Digital (“Axhela,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, applications, and other services (“Services”). By accessing or using the Services, you agree to be bound by these Terms.

You may submit content to the Services, such as text, images, and videos (“User Content”). You retain all ownership rights to your User Content. However, by submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, publish, and distribute your User Content in connection with the Services. You represent and warrant that you have all necessary rights and permissions to submit User Content and that your User Content does not infringe any third-party rights.

4. Prohibited Content and Activities:

You may not use the Services for any purpose that is unlawful or prohibited by these Terms. This includes, but is not limited to:

Uploading, posting, or transmitting any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of privacy, or racially or ethnically offensive.
Infringing on any intellectual property rights of any third party.
Transmitting any viruses, worms, Trojan horses, or other harmful or disruptive code.
Interfering with or disrupting the Services or any servers or networks connected to the Services.
Attempting to gain unauthorized access to the Services, other accounts, or computer systems or networks connected to the Services.
Encouraging or participating in any activity that could damage the reputation of Axhela or its users.

5. Termination:

We may terminate your access to the Services at any time, for any reason, or for no reason at all. We may also remove any User Content from the Services at any time.

6. Disclaimers:

The Services are provided “as is” and without warranty of any kind, express or implied. We disclaim all warranties, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that defects will be corrected. You use the Services at your own risk.

7. Limitation of Liability:

To the fullest extent permitted by law, we will not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Services. This includes, but is not limited to, damages for lost profits, lost data, and personal injury.

8. Indemnification:

You agree to indemnify and hold harmless Axhela and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, and expenses (including attorney’s fees) arising out of or related to your use of the Services or your violation of these Terms.

9. Governing Law:

These Terms shall be governed by and construed in accordance with the laws of Uganda, without regard to its conflict of laws provisions.

10. Entire Agreement:

These Terms constitute the entire agreement between you and Axhela with respect to your use of the Services. These Terms supersede all prior or contemporaneous communications and proposals, whether oral or written.

11. Severability:

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

12. Waiver:

No waiver of any provision of these Terms shall be effective unless in writing and signed by us. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

13. Force Majeure:

We will not be liable for any delay or failure to perform under these Terms due to causes beyond our reasonable control, such as acts of God, war, terrorism, riots, strikes, or natural disasters.

THE SERVICES ARE PROVIDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AXHELA DIGITAL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

8. Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXHELA DIGITAL WILL NOT BE LIABLE FOR ANY DAMAGES ARISING OUT OF YOUR USE OF THE SERVICES, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, AND PUNITIVE DAMAGES.
